Semitool, Inc. (NASDAQ:SMTL) soared 30.24% to $10.94 on massive volume of 21.55 million shares compared to its average volume of 176K shares. Applied Materials, Inc. (Nasdaq: AMAT) and SMTL today announced a definitive agreement for Applied to acquire the outstanding shares of Semitool for $11 per share in an all-cash tender offer. Under terms of an agreement approved by the boards of directors of both companies, Applied Materials will pay an aggregate purchase price of approximately $364 million based on the fully diluted capitalization of Semitool.
Assured Guaranty Ltd. (NYSE:AGO) jumped 19% to $25.25 after it reports Q3 loss of $0.22, versus the analyst estimate of $0.31. Assured Guaranty Ltd. (Assured Guaranty) is a holding company that provides, through its operating subsidiaries, credit enhancement products to the public finance, structured finance and mortgage markets.
CapitalSource, Inc. (NYSE:CSE) climbed 2.29% to $3.80 after CapitalSource Inc. announced the appointment of Steven A. Museles and James J. Pieczynski as Co-CEOs and members of the Company's Board of Directors, and the formation of an Office of the Chairman. Founder and current Chief Executive Officer (CEO), John K. Delaney, will assume the new Company officer role of Executive Chairman and continue to chair the Company's Board of Directors. Dean Graham has decided to step down as President. The changes will become effective on January 1, 2010.
